Welcome to CareCloud (“CareCloud,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our websites, patient portals, applications, software, products, and related services (collectively, the “Services”). 

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of the Services. 

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services independently. If you are using the Services on behalf of a healthcare organization, another individual (including a minor as a parent, guardian, or authorized representative) or another entity, you represent that you have the authority to bind that person or organization to these Terms. Personal information of individuals under 16 is treated as sensitive personal information and handled in accordance with applicable law.

2. Scope of Services

CareCloud provides healthcare technology solutions that may include, among other offerings: 

  • Practice management software  
  • Electronic health record (EHR) solutions  
  • Revenue cycle management (RCM) services  
  • Patient engagement tools  
  • Scheduling and billing services  
  • Patient portals  
  • Healthcare analytics  
  • Other related digital healthcare services  

Availability of specific Services may vary depending on customer agreements and geographic location. 

3. No Medical Advice

The Services are intended to support healthcare administration and communication. Unless expressly stated otherwise, CareCloud does not provide medical advice, diagnosis, treatment, or emergency healthcare services. 

Information made available through the Services is provided for informational and administrative purposes only and should not be relied upon as a substitute for professional medical judgment. 

If you believe you are experiencing a medical emergency, contact your local emergency services immediately. 

The Services may include regulatory, billing, or compliance-related information or tools. Such features are provided for informational and administrative purposes only and do not constitute legal, regulatory, or compliance advice. No attorney-client or advisory relationship is created by your use of the Services. You should consult your own qualified advisors regarding any questions about applicable laws, regulations, or compliance requirements. 

4. User Accounts

Certain Services require account registration. 

You agree to: 

  • Provide accurate and current information.  
  • Maintain the confidentiality of your credentials.  
  • Promptly update account information.  
  • Notify us immediately of unauthorized account access.  

You remain responsible for all activities occurring under your account. 

5. Acceptable Use

You agree not to: 

  • Violate any applicable laws or regulations.  
  • Access systems without authorization.  
  • Interfere with the operation or security of the Services.  
  • Upload malicious software or harmful code.  
  • Attempt to reverse engineer or copy proprietary software.  
  • Use automated tools to scrape or harvest data without authorization.  
  • Misrepresent your identity.  
  • Use the Services to transmit unlawful, abusive, fraudulent, or infringing content.  
  • Use the Services or any output, data, or information obtained from the Services to build, train, or improve a competitive product or service.

     

CareCloud reserves the right to suspend or terminate access for violations of these Terms. CareCloud further reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone using the Services, and you waive and hold harmless CareCloud and its affiliates from any claims resulting from any action taken by CareCloud during or as a result of such investigations or from any actions taken as a consequence of investigations by law enforcement authorities. 

6. Privacy and Protected Health Information

Your use of the Services is also governed by our Privacy Policy. 

Where applicable, CareCloud handles Protected Health Information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable healthcare privacy laws and contractual obligations, including Business Associate Agreements (BAAs) when required. 

Healthcare providers remain responsible for ensuring their own compliance with applicable healthcare privacy and security requirements. 

7. Information Security

We maintain administrative, technical, and physical safeguards designed to protect information entrusted to us. In the event of a security incident affecting information we hold, we will comply with our applicable breach-notification obligations, including the HIPAA Breach Notification Rule and applicable state breach notification laws, as further described in our Privacy Policy. 

However, no internet transmission or electronic storage method can be guaranteed to be completely secure. Users are responsible for maintaining appropriate security measures for their own devices and credentials. 

8. Electronic Communications

By using the Services, you consent to receive electronic communications relating to your account, transactions, support requests, and security notifications. Legal notices (E-SIGN): You agree that we may provide legally required notices electronically. To access them you must have a current web browser and the ability to view and retain PDF files. You may withdraw consent to electronic delivery or request a paper copy at no charge by contacting us; withdrawal does not affect communications already sent. Text messages and automated calls (opt-in): Separately, and only if you opt in, you consent to receive calls or SMS text messages (including via automated technology) for appointment reminders and patient-engagement purposes at the number you provide. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to opt out or HELP for help. 

You are responsible for maintaining accurate contact information. 

9. Intellectual Property

All content available through the Services, including software, text, graphics, logos, trademarks, icons, images, interfaces, databases, documentation, and other materials, is owned by or licensed to CareCloud and protected by applicable intellectual property laws. 

No ownership rights are transferred through your use of the Services. 

Except as expressly authorized, you may not: 

  • Copy  
  • Modify  
  • Reproduce  
  • Distribute  
  • Sell  
  • License  
  • Publish  
  • Reverse engineer  
  • Create derivative works 

     

from any portion of the Services. 

10. User Content

You retain ownership of content you lawfully submit through the Services. 

You grant CareCloud the limited rights necessary to process, transmit, store, secure, and display such content solely for providing the Services and fulfilling contractual obligations. 

You represent that you possess all necessary rights to submit such content. 

11. Third-Party Services

The Services may integrate with third-party applications, payment providers, healthcare systems, cloud platforms, or external websites. 

CareCloud is not responsible for third-party services, policies, security practices, or content. 

Use of third-party services is subject to their own terms and privacy policies. 

12. Artificial Intelligence and Automated Features

Some Services may include artificial intelligence or automated technologies designed to assist with documentation, workflow optimization, analytics, coding assistance, or administrative functions. 

AI-generated outputs should always be reviewed by qualified healthcare professionals before clinical or operational use. 

Users remain solely responsible for decisions based on AI-assisted outputs. 

You agree not to: (a) engage in model extraction, stealing attacks, or otherwise attempt to discover the underlying components, foundational logic, or technical weights of any artificial intelligence models used within the Services; (b) manipulate, exploit, or attempt to circumvent any artificial intelligence or large language model used within the Services through prompt injection or any other adversarial means; or (c) use any AI-powered features of the Services, or outputs generated by such features, to develop, train, or improve any competing artificial intelligence models or products. 

13. Service Availability

We strive to maintain reliable Services but do not guarantee uninterrupted availability. CareCloud may, without notice and without liability to you: (a) modify, suspend, or terminate the operation of, or any feature of, the Services; (b) restrict, limit, suspend, or terminate your access to the Services; (c) monitor your use of the Services to verify compliance with these Terms; and (d) investigate any suspected or alleged misuse of the Services and disclose information about your use of the Services in connection with a law enforcement investigation or in response to a court order or subpoena. 

Scheduled maintenance, upgrades, emergencies, cybersecurity incidents, and events beyond our control may temporarily affect availability. 

14. Disclaimer of Warranties

To the Maximum Extent Permitted by Law, the Services Are Provided “As Is” and “As Available.” Your Use of the Services Is at Your Own Risk. CareCloud Disclaims All Warranties, Whether Express, Implied, Statutory, or Otherwise, Including Warranties of Merchantability, Fitness for a Particular Purpose, Title, Non-Infringement, Availability, Accuracy, Timeliness, and Uninterrupted Operation. CareCloud Does Not Warrant That the Services Will Be Error-Free, That Defects Will Be Corrected, That the Services or the Servers That Make Them Available Are Free of Viruses or Other Harmful Components, or That the Services Will Meet Your Requirements or Expectations.

15. Limitation of Liability

To the fullest extent permitted by applicable law, CareCloud and its affiliates, officers, employees, contractors, licensors, and suppliers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Services. 

IN NO EVENT SHALL CARECLOUD’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF:

(A) THE AMOUNTS PAID BY YOU, IF ANY, TO CARECLOUD FOR THE SERVICES IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR

(B) ONE HUNDRED DOLLARS ($100). Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or personal injury.
 

16. Indemnification

You agree to defend, indemnify, and hold harmless CareCloud and its affiliates, officers, directors, employees, agents, representatives, and licensors from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: 

  • Your use of the Services;  
  • Your violation of these Terms;  
  • Your violation of applicable laws;  
  • Your infringement of another party’s rights.  

17. Suspension and Termination

We may suspend  or terminate access to the Services where necessary to: 

  • Protect system security;  
  • Prevent fraud;  
  • Comply with legal obligations;  
  • Investigate misuse;  
  • Enforce these Terms. 

     

Termination does not affect obligations accrued before termination. Upon termination, all rights granted to you under these Terms will cease and you must cease all use of the Services. Sections 3, 9, 10, 14, 15, 16, 22, 23, and 25 of these Terms, and any other provisions that by their nature should survive, will survive any termination or expiration of these Terms. 

18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to conflict of law principles, unless otherwise required by applicable law. The exclusive venue for any dispute shall be the state or federal courts located in Florida , and the parties consent to personal jurisdiction there, except where applicable law provides otherwise or grants non-waivable rights.  

19. Changes to These Terms

We may update these Terms periodically. 

Material changes will become effective on the stated effective date, and we will provide reasonable advance notice of material changes (for example, by email) where feasible.  

Continued use of the Services following the effective date constitutes acceptance of the updated Terms.

21. Geographic Restrictions

The Services are intended for use within the United States of America. If you access or use the Services from outside the United States: (a) any information you provide to us or that we collect will be transferred to and processed in the United States; and (b) by using the Services or submitting information, you authorize its transfer to and processing in the United States in accordance with these Terms and our Privacy Policy. 

22. Waiver and Severability

No waiver by CareCloud of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CareCloud to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect. 

23. Limitation on Time to File Claims

Any Cause of Action or Claim You May Have Arising Out of or Relating to These Terms or the Services Must Be Commenced Within One

(1) Year After the Cause of Action Accrues. Otherwise, Such Cause of Action or Claim Is Permanently Barred.

24. Force Majeure

CareCloud shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond CareCloud’s reasonable control, including acts of any governmental body, war, cyberattack, terrorism, sabotage, embargo, fire, flood, severe weather, earthquake, pandemic, labor disturbance, interruption of or delay in the internet or transportation, unavailability of third-party services, or failure of third-party software or infrastructure. 

25. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and CareCloud with respect to your use of the Services and supersede all prior agreements, understandings, representations, and warranties, both written and oral, with respect to the Services. 

26. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without CareCloud’s prior written consent. CareCloud may freely assign or transfer these Terms, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without restriction and without notice to you. Any attempted assignment in violation of this section shall be null and void. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
